Grafix provides branding, design, creative strategy, and digital products. All services are delivered based on agreed project scope, timelines, and payment terms.
We reserve the right to refuse service to anyone at our discretion.
3. User Responsibilities
By working with Grafix, you agree to:
Provide accurate and complete information
Supply necessary materials (content, assets, feedback) on time
Respect agreed timelines and communication channels
Use our work only as permitted under these terms
Delays in providing required materials may affect delivery timelines.
4. Payments & Fees
All fees must be paid as agreed before or during project execution
Deposits are non-refundable unless otherwise stated
Late payments may result in project suspension or termination
Final deliverables may be withheld until full payment is received
5. Intellectual Property
a. Ownership
Final approved work becomes the client’s property only after full payment
Grafix retains the right to showcase completed work in portfolios, marketing, and case studies
b. Usage Restrictions
You may not:
Resell, redistribute, or sublicense our work without written permission
Claim Grafix work as your own creation before full transfer of rights
6. Revisions & Scope
Revisions are limited to what is agreed in the project scope
Additional requests outside the agreed scope may require a Change Order and additional fees
Excessive revisions or scope creep may result in project restructuring
7. Client Materials
You are responsible for ensuring that all materials you provide (logos, images, text, etc.) do not infringe on any third-party rights.
Grafix is not liable for legal issues arising from client-provided content.
8. Confidentiality
Both parties agree to keep all sensitive information confidential, including business strategies, project details, and proprietary materials.
9. Limitation of Liability
Grafix is not liable for:
Indirect or consequential damages
Loss of profits, revenue, or business opportunities
Issues arising from third-party platforms or tools
Our total liability shall not exceed the amount paid for the service in question.
10. Termination
We reserve the right to terminate or suspend services if:
Terms are violated
Payments are not made
Communication breaks down
In such cases, payments already made are non-refundable.
11. Digital Products (If Applicable)
For templates, guides, or downloadable assets:
Purchase grants a non-exclusive, non-transferable license
You may not resell, share, or distribute these products as your own
Unauthorized use may result in legal action
12. Third-Party Tools & Services
Grafix may use third-party tools (e.g., hosting, payment processors). We are not responsible for their performance, policies, or downtime.
13. Changes to Terms
We may update these Terms of Use at any time. Continued use of our services means you accept any revisions.
14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Nigeria.
